NHV is a fast-growing Business-to-Business aviation services provider for the offshore & onshore industries. NHV specializes in business-to-business helicopter services, both offshore & onshore, and operates a young fleet of 59 helicopters in Europe and Africa.
NHV Group is the only helicopter service provider with a presence in all Oil and Gas producing countries in the North Sea region. Furthermore, the company has a very strong presence in West Africa.
Our client is looking for a qualified Legal Counsel (m/f) for the Belgium headquarters, situated in Oostende, to deal with the legal aspects of NHV’s business in Europe and Africa, with a focus on legal support to group corporate departments and business units.
Being part of the Legal team at holding level and reporting directly to the general legal counsel, you will:
* Work closely with management, the general counsel, the paralegal, and different business units.
* Assist in setting up and maintaining a corporate social responsibility culture within the Group.
* As a key member of the Legal Team, be in contact with other group corporate functions (in particular finance, HR, tax, project management office, GM’s) delivering legal advice, information, documentation, and analysis on corporate & financial matters.
* Be responsible for the corporate governance and corporate housekeeping of all 20 legal entities within the Group, with the assistance of a paralegal.
* Assist in setting up the international legal structure that adequately supports the business strategy of the Group.
* Assist in corporate transactions, in collaboration with the general counsel.
Occasional travel to other sites is required.
Responsibilities & main result areas:
* Ensure that the corporate housekeeping of entities in Belgium, UK, Netherlands, Ghana, Ivory Coast, Norway, Denmark is complete and up-to-date.
* Keep records of corporate decisions, and improve/maintain a procedure for documenting corporate decisions.
* Contribute to the drafting of corporate documentation (minutes of meetings, resolutions).
* Map and follow up on local legal formalities.
* Monitor and prepare legal documentation to formalize intragroup structures (e.g., financing agreements, service agreements, lease agreements, and hire-out agreements).
2. Corporate social responsibility:
* Contribute to the drafting of corporate governance rules, authorization rules, and administrative guidelines.
* Ensure compliance with existing rules, regulations, and applicable legal basis.
* Actively educate the organization on corporate social responsibility.
* Render advice on envisaged corporate and financial transactions (joint ventures, mergers and acquisitions, corporate financing, hedging, etc.).
* Follow up on due diligence operations in corporate or financial transactions.
4. Litigation:
* Follow up on pending claims and litigations and liaise with outside counsels.
* Provide an annual litigation report to the legal manager/executive committee.
5. General advice on legal matters:
* Provide legal advice, guidance, information, and analysis to internal clients.
* Prepare and review legal documents and examine documents for legal sufficiency.
* Perform specific legal research to support the legal manager.
* Follow up on outside counsel expenses and manage external expenses in accordance with the legal budget.
Profile
* You have a Master’s degree in law.
* You have a minimum of 8 years’ experience in corporate law, in an international business law firm and/or as an in-house lawyer in an international company.
* You have clear and effective communication skills with natural charisma and authority.
* You have strong coordination, negotiation, and persuasive skills, with an eye for details without losing the helicopter view.
* You are able to work independently and autonomously with a problem-solving approach.
* You have excellent (verbal and written) communication skills and you are a real team player.
* You are passionate about legal matters and at the same time business-oriented.
* You are excellent in Dutch and English. Good knowledge of French (written and spoken).
* You have relevant experience in project management on a company level.
* You have relevant experience in risk management/risk assessment processes.
* You are available for occasional travel on business trips.
* You are a professional user of MS Office.
