About Our Client
Our client is a dynamic, dual-listed company on the New York Stock Exchange (NYSE) and Euronext. With a strong commitment to innovation and growth, the company operates in a fast-paced, international environment. They are looking for an experienced Legal Counsel to join their Corporate Legal Team and contribute to their corporate governance, legal compliance, and transactional matters.
Job Description
The Corporate Legal Counsel will be responsible for overseeing a range of corporate legal matters, with a particular focus on corporate housekeeping, governance, and compliance for the company's global operations. Your key responsibilities will include:
* Corporate Governance & Housekeeping: Manage corporate governance processes for the company's dual-listed status (NYSE and Euronext), including board and shareholder meetings, preparation of corporate documents, and maintenance of corporate records.
* Compliance: Advise on corporate compliance issues in relation to local and international regulations, securities law, and stock exchange listing requirements.
* Contract Management: Assist with the preparation, review, and negotiation of corporate contracts, including joint ventures, partnerships, mergers, and acquisitions.
* Regulatory Affairs: Ensure the company's operations comply with applicable corporate laws, securities regulations, and stock exchange rules.
* Legal Advisory: Provide day-to-day legal advice to business leaders and departments regarding corporate structures, corporate policies, and corporate transactions.
* Corporate Filings & Reporting: Oversee mandatory filings with regulatory bodies and stock exchanges, including quarterly and annual reports, disclosures, and shareholder communications.
* Cross-Border Transactions: Assist in handling legal matters for corporate transactions that may have international or cross-border elements.
The Successful Applicant
* Education: Master's degree in Law, with a focus on corporate law.
* Experience: A minimum of 3 years' experience in corporate law, either as an in-house legal counsel in a listed company or as a lawyer in a law firm with a focus on corporale law.
* Legal Expertise: Strong understanding of corporate governance practices, securities regulations, and compliance matters applicable to dual-listed companies (particularly NYSE and Euronext).
* Languages: Fluency in Dutch and English, both written and spoken, is required.
* Skills: Strong analytical skills, attention to detail, and ability to manage multiple priorities effectively. Excellent communication and negotiation skills.
* Team Player: Ability to work effectively within a team of lawyers and collaborate with business leaders to deliver practical legal solutions.
