As a key member of the team, you will play a crucial role in advising and supporting the M&A department in all legal aspects of mergers, acquisitions, divestitures, joint ventures, and other strategic transactions.You will work closely with internal stakeholders and external advisors to ensure the successful execution of complex transactions while mitigating legal risks.Roles and Responsibilities:- Provide expert legal advice on all aspects of M&A transactions, including due diligence, negotiation, structuring, and documentation.- Collaborate with cross-functional teams, including finance, tax, compliance, and business development, to evaluate potential transactions and ensure alignment with business objectives.- Analyse legal risks and opportunities associated with proposed transactions and develop strategies to address and mitigate risks while achieving desired outcomes.- Draft, review, and negotiate a wide range of transaction-related agreements, including purchase agreements, shareholder agreements, joint venture agreements, and other related documentation.- Ensure compliance with applicable laws, regulations, and corporate governance requirements throughout the M&A process.- Work closely with external legal counsel, financial advisors, and other third-party professionals to facilitate smooth and timely execution of transactions.- Provide strategic counsel to senior management on M&A matters, including recommending transaction structures and assisting in the development of negotiation strategies.- Stay informed about industry trends, best practices, and legal developments related to M&A activities, and proactively advise the organization on potential impacts.- Reporting to the Legal Manager of the Enterprise Division, you manage your files autonomously under the coordination and support of your N+1.Your Profile- Holder of a Master's degree in Law.- You have at least 7 years' experience in Corporate Law and M&A as a lawyer, in-house counsel, or similar position.- You have good analytical and synthesising skills that enable you to solve complex legal problems.- You are convincing, collaborative, and results-oriented.- As a true partner of the Business Units, you are flexible, open-minded, and pragmatic, enabling you to reconcile legal interests with the company's interests in the best possible way.- You have the courage to present legal analyses with integrity.- You have a good knowledge of French, Dutch, and English, both written and spoken.What do we offer you?- We are 100% Belgian.
