Jacon Legal is looking for a Legal Counsel to join the legal team of its client, NHV, a fast growing and internationally expanding Business-to-Business aviation services provider for the offshore & onshore industries. They operate a young fleet of 63 helicopters in Europe and Africa.
You will join the legal department at group level, working closely with the legal team members and reporting to the general counsel. The legal team consists of the general counsel and a legal counsel. As NHV is growing, NHV is looking for a legal counsel to strengthen its legal team.
Each legal team member is responsible for his/her projects, adequately supports the business strategy of the Group, assists in corporate transactions, and is responsible for maintaining a corporate social responsibility culture within the Group.
You will be in contact with other group functions (in particular finance, HR, tax, project management office, base managers) delivering legal advice, information, documentation, and analysis on your international contract projects.
You have strong experience in international contracts:
* Responsible for your international supplier contracts: analyzing, reviewing, drafting, reading, negotiating, discussing contracts with suppliers (e.g. manufacturers, lessors, etc).
* Serve as the legal primary point of contact for your contract projects.
* Serve as liaison between Legal Department, the business, outside lawyers, and external clients and/or partners on contract matters.
* Advise management on contract requirements and procedures and identified risks.
You are interested in corporate law and private tenders. Experience is a plus (not a must):
* Prepare & monitor legal documentation to formalize intragroup structures (e.g. lease agreement, service agreements, financing agreements, and hire out agreements).
* Map and follow up on local legal formalities.
* Render opinions and prepare legal drafts, opinions, and various documents related to corporate & financing transactions.
* Advise and assist group and local corporate bodies on corporate matters and regulations.
* Ensure that the corporate housekeeping of entities is accurate, complete, and up-to-date.
Other responsibilities & main result areas of each legal team member:
* Corporate social responsibility:
o Monitor adequate corporate governance structure on group and subsidiary level.
o Actively educate organization on corporate social responsibility / corporate compliance.
* Litigation:
o Follow up on pending claims and litigations and liaise with outside counsels.
* General advice on legal matters:
o Provide legal advice, guidance, information, and analysis to internal clients.
o Prepare and review legal documents and examine documents for legal sufficiency.
o Prepare drafts, documents, letters.
o Perform specific legal research to support the general counsel.
o Contribute to risk mitigation initiatives.
o Provide legal advice and perform legal research for internal stakeholders pertaining to contractual and other issues that arise in and affect the business.
o Provide general legal analysis and make recommendations for the best course of action under the given circumstances.
* Legal administration:
o Follow up on outside counsel expenses and manage external expenses in accordance with the legal budget.
Profile
* Ideally 4 to 5 years of experience in international supply contracts in an international law firm and/or as an in-house lawyer in an international company.
* Interest in or experience in private tenders and/or corporate law.
* Excellent Dutch and English, good understanding of French.
* Good in negotiating.
* Strong in both working autonomously and in a team.
* Team player and problem solver, who is communicative and open to different ideas and experiences (adaptive).
* Structured and analytical.
* Eager to learn new legal areas (e.g. aviation law, asset financing, etc.). You will learn this from the general counsel.
